DISTANCE SALES AGREEMENT

This Distance Sales Agreement (“Agreement”) applies to purchases of products made by consumers through the Jardin du Soleil website.

2. SCOPE OF THIS AGREEMENT

2.1. This Agreement applies to all consumer purchases made through the Jardin du Soleil website.

2.2. By placing an order through our website, you agree to the terms of this Agreement together with any other terms and policies expressly applicable to your order.

2.3. Nothing in this Agreement limits or excludes any statutory rights you may have under applicable consumer protection law.

2.4. If any provision of this Agreement conflicts with a mandatory consumer protection right, that statutory right will prevail.

2.5. This Agreement applies to sales made remotely through our website without the parties being physically present together at the time the contract is concluded.

3. OUR PRODUCTS

3.1. Jardin du Soleil sells fashion products and accessories through its website.

3.2. We make reasonable efforts to ensure that product descriptions, photographs, measurements, materials, colours and other product information displayed on the website are accurate.

3.3. Product images are provided for illustrative purposes. Due to differences between individual screens, displays and device settings, colours may appear slightly different from the actual product.

3.4. Product availability is subject to stock availability.

3.5. If a product becomes unavailable after you have placed an order and we are unable to fulfil the order, we will inform you and refund any payment received for the unavailable product.

3.6. Where a product has specific characteristics, limitations or care requirements, these will be stated on the relevant product page where applicable.

4. PRICES

4.1. Product prices displayed on the website are shown in British Pounds Sterling (GBP/£), unless otherwise stated.

4.2. The total price payable for your order will be displayed before you submit your order.

4.3. Any applicable delivery charges will be displayed separately before you complete your purchase.

4.4. Where taxes or duties are applicable to your purchase, the relevant information will be displayed or made available before you place your order where required by law.

4.5. We reserve the right to change our prices at any time. Any price change will not affect an order that we have already accepted.

4.6. Promotional prices and discount offers are subject to any specific terms displayed in connection with the relevant promotion.

4.7. We will not charge you for optional additional products or services unless you have expressly agreed to purchase them.

5. PLACING AN ORDER

5.1. You may place an order by selecting the products you wish to purchase and completing the checkout process on our website.

5.2. Before submitting your order, you will have the opportunity to review the details of your purchase and correct any errors.

5.3. The checkout process will indicate clearly that submitting the order creates an obligation to pay.

5.4. By submitting your order, you confirm that the information you have provided is accurate and complete.

5.5. After submitting an order, you will receive an order confirmation by email.

5.6. Your order confirmation will contain relevant information about your purchase, including the products ordered, order number, price and delivery information.

5.7. The contract between you and Jardin du Soleil is formed when we accept your order.

5.8. We reserve the right to refuse or cancel an order where:

  • a product is unavailable;
  • there is an obvious pricing or product description error;
  • there is an error in the information displayed on the website;
  • we reasonably suspect fraudulent or unlawful activity;
  • we are unable to fulfil the order for reasons outside our reasonable control; or
  • the order otherwise cannot reasonably be fulfilled.

5.9. If we cancel an order after payment has been taken, we will refund the amount paid for the cancelled order.

6. PAYMENT

6.1. Payment must be made using one of the payment methods available at checkout.

6.2. Payment will normally be taken when you place your order.

6.3. By submitting an order, you confirm that you are authorised to use the payment method provided.

6.4. We reserve the right to verify payment information and may cancel an order where payment cannot be successfully authorised or where there are reasonable grounds to suspect fraudulent activity.

7. DELIVERY

7.1. We will deliver your order to the delivery address provided during checkout.

7.2. Available delivery methods, estimated delivery times and applicable delivery charges will be displayed at checkout before you complete your purchase.

7.3. Delivery times shown on the website are estimates unless expressly stated otherwise.

7.4. Delivery may be affected by circumstances outside our reasonable control, including courier delays, customs procedures, transportation disruption or other unforeseen events.

7.5. Unless a different delivery period has been expressly agreed with you, goods will be delivered without undue delay and, in any event, within 30 days after the contract is concluded, unless applicable law provides otherwise.

7.6. You are responsible for providing a complete and accurate delivery address.

7.7. If you provide an incorrect or incomplete address and this results in additional delivery or redelivery costs, we may contact you regarding those costs where permitted by law.

7.8. If we fail to deliver within the applicable agreed or statutory period, you may have a legal right to terminate the contract and receive a refund.

8. TRANSFER OF RISK

8.1. Where you are a consumer, the risk of loss or damage to the goods will generally remain with us until the goods come into your physical possession, or the possession of a person identified by you to receive the goods, other than the carrier.

8.2. This does not affect any rights you may have if the goods are lost, damaged or otherwise fail to conform to the contract.

9. YOUR STATUTORY RIGHT TO CANCEL

9.1. If you are a consumer purchasing goods online, you generally have a statutory right to cancel your order without giving a reason.

9.2. For a standard sales contract, the cancellation period normally ends 14 days after the day on which you, or a person identified by you to receive the goods, physically receives the goods.

9.3. If your order contains multiple goods delivered on different days, the cancellation period generally ends 14 days after the day on which the last of the goods is received.

9.4. You do not have to provide a reason for cancelling.

9.5. To exercise your right to cancel, you must communicate your decision to us before the cancellation period expires.

9.6. You may use the Model Cancellation Form contained in Section 18 of this Agreement, but you are not required to use that form.

9.7. A clear statement informing us that you wish to cancel your contract is sufficient.

9.8. If you do not receive the required information about your cancellation rights, the applicable cancellation period may be extended under UK law.

10. HOW TO EXERCISE YOUR RIGHT TO CANCEL

Please provide, where possible:

  • your full name;
  • your order number;
  • the product(s) you wish to cancel; and
  • a clear statement that you wish to cancel your contract.

You may also use the Model Cancellation Form contained in Section 18.

You can send your cancellation notice by email or by another clear written communication.

11. RETURNING PRODUCTS AFTER CANCELLATION

11.1. If you cancel your contract under the statutory cancellation right, you must return the goods to us without undue delay and, in any event, no later than 14 days after the day on which you communicate your cancellation to us.

11.2. You will have complied with this requirement if you send the goods back before the 14-day period has expired.

11.3. Goods should be returned securely packaged.

11.4. Where reasonably possible, products should be returned with their original packaging, labels, tags and accessories.

11.5. You may handle the goods to the extent necessary to establish their nature, characteristics and functionality, in a manner that would reasonably be permitted in a physical shop.

11.6. If the value of the goods has diminished because you handled them beyond what was necessary to establish their nature, characteristics and functionality, we may make an appropriate deduction from your refund where permitted by law.

We reserve the right to provide a different return address for a particular order where this is necessary for operational reasons. Any alternative return address will be communicated clearly to the customer.

13. COST OF RETURNING GOODS

13.1. Where you exercise your statutory right to cancel because you have changed your mind, you are generally responsible for the direct cost of returning the goods, provided that we informed you of this responsibility before the contract was concluded.

13.2. Where goods are faulty, damaged, incorrect or otherwise fail to conform to the contract, different statutory rights may apply and we will handle the matter in accordance with applicable consumer law.

13.3. If you believe that an item is faulty, damaged or incorrect, please contact us before returning it so that we can provide appropriate return instructions.

14. REFUNDS

14.1. If you validly cancel your order under your statutory cancellation right, we will refund the payments we have received from you for the cancelled goods.

14.2. This includes the cost of the standard delivery option available at the time of purchase.

14.3. If you selected a more expensive delivery option, we are only required to refund an amount equivalent to the least expensive standard delivery option available.

14.4. We may withhold the refund until:

  • we have received the returned goods; or
  • you provide evidence that you have sent the goods back,

whichever occurs first.

14.5. We will make the refund without undue delay and generally no later than 14 days from the applicable date required by law.

14.6. Where goods have been returned following cancellation, the refund will generally be made within 14 days after we receive the goods or receive evidence that they have been returned, subject to the applicable legal requirements.

14.7. Refunds will normally be made using the same payment method used for the original transaction, unless otherwise agreed with you.

14.8. We will not charge you a fee solely for processing a statutory refund.

15. FAULTY, DAMAGED OR INCORRECT GOODS

15.1. Your statutory rights are not affected by this Agreement.

15.2. If you receive goods that are:

  • faulty;
  • damaged;
  • incorrect;
  • materially different from their description;
  • not of satisfactory quality; or
  • not fit for their intended purpose,

15.3. Please provide your order number and, where reasonably possible, photographs or other information showing the issue.

15.4. We will assess the issue and provide the appropriate remedy required under applicable consumer law.

15.5. Where goods are faulty or otherwise fail to conform to the contract, you may have rights to repair, replacement, price reduction, rejection or refund depending on the circumstances and applicable law.

15.6. Nothing in this Agreement excludes or limits any statutory right or liability that cannot legally be excluded or limited.

16. EXCEPTIONS TO THE STATUTORY RIGHT TO CANCEL

16.1. The statutory right to cancel does not apply to certain categories of goods specified by law.

16.2. This may include goods that are:

  • made to the consumer's specifications;
  • clearly personalised; or
  • otherwise covered by a statutory exception.

16.3. Where a statutory exception applies to a particular product, we will provide the relevant information before you place your order where required.

16.4. Standard, non-personalised Jardin du Soleil fashion products will generally remain subject to the statutory cancellation rights applicable to distance sales.

The Consumer Contracts Regulations specifically exclude certain goods made to a consumer's specification or clearly personalised from the statutory cancellation right.

17.3. Where relevant, photographs or other supporting information may help us investigate the complaint more efficiently.

17.4. We will review complaints and seek to resolve them within a reasonable period.

17.5. Nothing in this complaints procedure limits your statutory rights or your right to pursue any legal remedy available to you.

18. MODEL CANCELLATION FORM

You may use the following form to cancel your contract. You do not have to use this form; any clear statement informing us of your decision to cancel is sufficient.

19. EVENTS OUTSIDE OUR REASONABLE CONTROL

19.1. We will not be responsible for delays or failures to perform our obligations where such delay or failure results from circumstances beyond our reasonable control.

19.2. Such circumstances may include, where applicable:

  • natural disasters;
  • serious transportation disruption;
  • strikes or industrial action;
  • government restrictions;
  • customs delays;
  • war or civil unrest;
  • significant infrastructure failures;
  • telecommunications failures; or
  • other circumstances that could not reasonably have been anticipated or prevented.

19.3. This section does not affect any statutory rights you may have, including rights arising from failure to deliver goods within an applicable agreed or statutory period.

20. GOVERNING LAW AND CONSUMER RIGHTS

20.1. This Agreement shall be interpreted in accordance with applicable law.

20.2. If you are a consumer residing in the United Kingdom, nothing in this Agreement is intended to deprive you of any mandatory consumer protection rights that apply to you.

20.3. Nothing in this Agreement prevents you from exercising any statutory rights available to you under applicable consumer protection legislation.

20.4. The Consumer Contracts Regulations 2013 continue to provide statutory information and cancellation rights for distance contracts, including online sales.

21. FAIR AND TRANSPARENT TERMS

21.1. We intend these terms to be written in clear and understandable language.

21.2. Nothing in this Agreement is intended to create an unfair term or to exclude liability where such exclusion would not be permitted by law.

21.3. Any provision found to be invalid, unlawful or unenforceable will be modified or disregarded only to the extent necessary, while the remaining provisions will continue to apply.

22. CHANGES TO THIS AGREEMENT

22.1. We may update this Agreement from time to time.

22.2. The version applicable to your purchase will be the version in force at the time you place your order.

22.3. Changes made after you have placed an order will not retrospectively alter the terms applicable to that order, except where a change is required by law.

23. CONTRACT CONFIRMATION

23.1. Following your purchase, we will provide confirmation of your order and the relevant contractual information by email or another durable medium.

23.2. The confirmation will be provided as soon as reasonably possible and no later than the time required by applicable law.

23.3. Customers should retain their order confirmation and this Agreement for their records.

UK online-selling rules require the contract to be confirmed and provided in a form the customer can store and reproduce, such as an email.
